CONSTITUTION
Southern Oregon University
Friends of Hannon Library

 

ARTICLE I

Name

The name of the organization shall be the Southern Oregon University Friends of Hannon Library.

 

ARTICLE II

Purpose

The purpose of this organization, as an affiliate of the SOU Foundation, shall be four-fold:

  • to support all student activities related to the library;

  • to assist in the growth and development of Southern Oregon University Library‚Äôs resources and services;

  • to present a lecture series at the Library that provides an active forum for the discussion of books and ideas with community members;

  • to foster beneficial relations between the Library and the residents of the region.

 

ARTICLE III

Membership

Members of the Friends of the Hannon Library at the time of adoption of this constitution and others hereafter joining shall constitute the membership.

 

ARTICLE IV

Limitations

No part of the net income of the Friends, from membership dues or other sources, shall serve the particular benefit of any member; all funds shall be used for the benefit of the Southern Oregon University Library.

 

ARTICLE V

Governance

The governance of the Friends shall be vested in a Board of Directors of not fewer than seven members nor more than twelve members, who shall be elected for three-year terms. The Board of Directors may include as ex-officio and non-voting members, the President of Southern Oregon University or his/her designee, a representative designated by the Southern Oregon University Foundation, and the University Librarian or higher designee. No more than two voting positions on the Board shall be occupied at any one time by members of the faculty or administration of Southern Oregon University. No Board member shall serve more than three consecutive terms.

The Board of Directors shall have the power to make and to amend by-laws consistent with the provisions of this constitution, but only with the approval of two-thirds of the members present and voting at a regular meeting.

The Constitution may be amended only at the annual membership meeting by a two-thirds vote of the membership present, after the membership has been notified by mail thirty days prior to the meeting.

ARTICLE I

Membership

Section 1.

Any person, business, or organization interested in the purposes of the Friends may become a member by payment of the annual membership dues.

Section 2.

The Board of Directors shall fix and from time to time review the amounts of the membership dues. Membership categories shall be:

  • Individual

  • Joint

  • OLLI Individual

  • OLLI Joint

  • Sponsor

  • Life Members

Section 3.

Membership in all categories, except life members, shall expire one year from payment of annual dues.

Section 4.

Honorary membership may be awarded by a vote of the Board of Directors to individuals or organizations who make notable contribution to the Library or the Friends.

 

ARTICLE II

Board of Directors

Section 1.

A vacancy on the Board of Directors shall be filled by a vote of the remaining Board members, effective only until the next annual election, when a new Board member shall be elected for the remainder of the term.

Section 2.

A majority of the members of the Board shall constitute a quorum for the transaction of business.

Section 3.

All actions of the Board shall be by a majority vote of those present and voting.

Section 4.

Regular meetings of the Board shall be held at times and places specified by the Board; special meetings shall be called as appropriate with due notice to all Board members.

Section 5.

The Board may appoint standing committees and ad hoc committees for special purposes.

Section 6.

Board members shall be elected by members present at the annual membership meeting. Board members shall hold office from the end of that meeting to the end of the meeting three years later.

Section 7.

Any member of the Friends of the Hannon Library is welcome to attend the board meetings which are held monthly from September to May. This is their opportunity to bring up ideas or issues which must be put in writing to the President at least one week prior to the meeting so that it may be added to the agenda.

 

ARTICLE III

Officers

Section 1.

The officers of the Friends of Hannon Library shall be a president, vice president, treasurer, and secretary; they shall be elected annually by the Board of Directors at its first meeting after the annual membership meeting.

Section 2.

The Board shall have the power to temporarily fill vacancies in the above officers and directors until the next annual meeting. At the annual meeting these positions will be opened up for re-election.

Section 3.

The duties of the respective officers shall be:

  • President:

    To preside at meetings; be responsible for arranging speakers and other activities at meetings and any special programs, with the assistance of the vice president and Library staff.

  • Vice President:

    To preside in the absence of the president and assist the president with programs and meetings.

  • Secretary:

    To record and preserve the minutes of the Board meetings and the annual meetings of the general membership; be responsible for mailing meeting announcements and other information to members; assist the president with programs and meetings.

  • Treasurer:

    To work with the library staff and foundation offices to compile a monthly budget report which will be presented at the board meetings and annual meeting.

 

ARTICLE IV

Finances

Section 1.

All money received from whatever source shall be deposited with the Southern Oregon University Foundation in accounts in the name of the Southern Oregon University Friends of the Hannon Library.

Section 2.

The fiscal year of the Friends shall be that of the Southern Oregon University Foundation.

Section 3.

Expenditures from the above accounts shall be made by the University Librarian with the authorization of the Board of Directors.

Section 4.

A report of receipts and expenditures shall be made regularly to the Board of Directors; a report of receipts and expenditures shall be made to the general membership at the annual membership meeting.

 

ARTICLE V

Officer and Director Obligations

The following are expected of FHL Board members:

  • Attendance at monthly board meetings.

  • Attendance at the annual member meeting.

  • Active participation in events and recruitment efforts.

A board member unable to fulfill the obligations of membership may be removed by a vote of the majority of the board members at a board meeting.

 

ARTICLE VI

Dissolution

Section 1.

In the event of dissolution of the Friends of the Hannon Library organization, all residual assets shall be transferred to the Southern Oregon University Library for continuance of the purposes stated in the Constitution of the Friends.

Current revision to the Bylaws will be voted on by the board and confirmed by general membership at the annual meeting.
